Terms of Service

By accessing or using APPSBASE STUDIO's services, website, or entering into any agreement with us, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you (the "Client") and APPSBASE STUDIO LTD (the "Company"). You must be at least 18 years old and have the legal authority to enter into contracts to use our services.

APPSBASE STUDIO provides professional software development, design, and consulting services including:

• iOS and Android application development
• Web application development
• UI/UX design services
• Backend and API development
• Technical consulting and architecture planning
• Maintenance and support services

Specific services, deliverables, timelines, and costs are defined in individual project agreements or statements of work.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not use our services:

• For any illegal or unauthorized purpose
• To violate any laws in your jurisdiction
• To infringe upon intellectual property rights
• To transmit harmful code or malware
• To harass, abuse, or harm others

Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information
• Respond to requests in a timely manner
• Make payments according to agreed terms
• Provide necessary access and resources
• Review and approve deliverables promptly

Ownership

Unless otherwise specified in a project agreement:

• Custom work created specifically for your project becomes your property upon full payment
• Pre-existing materials, frameworks, and generic components remain our property
• We retain the right to showcase completed work in our portfolio
• Third-party components remain subject to their respective licenses

License Grants

Upon full payment, you receive a perpetual, worldwide license to use the deliverables for your intended business purposes. We retain a license to use anonymized learnings and non-confidential aspects for our internal purposes.

Payment terms are specified in individual project agreements. Standard terms include:

• Initial deposit required to begin work (typically 25-50%)
• Milestone payments as defined in the project agreement
• Final payment upon project completion
• Net 30 payment terms unless otherwise specified
• Late payments may incur fees as specified in the agreement

All fees are non-refundable once work has commenced unless otherwise agreed in writing. Work may be suspended for overdue payments.

We take data protection seriously. Our handling of personal data is governed by our Privacy Policy.

• We maintain strict confidentiality of your business information
• We implement industry-standard security measures
• We only use your data for agreed purposes
• We comply with applicable data protection laws
• We will notify you of any data breaches as required by law

Our Warranties

We warrant that:

• Services will be performed in a professional manner
• Deliverables will substantially conform to specifications
• We have the right to provide the services
• Deliverables will be free from material defects for 90 days

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for the specific services
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits or business opportunities
• We are not responsible for third-party actions or services

These limitations apply regardless of the legal theory under which liability is asserted.

Either party may terminate services:

• By mutual agreement
• Upon completion of the project
• For breach of terms with written notice
• As specified in the project agreement

Upon termination:

• All outstanding payments become due
• We will deliver completed work up to termination
• Confidentiality obligations survive termination
• Each party returns the other's proprietary materials

Governing Law

These Terms are governed by the laws of the jurisdiction where APPSBASE STUDIO is incorporated, without regard to conflict of law provisions.

Dispute Resolution

We prefer to resolve disputes through good faith negotiation. If that fails, disputes will be resolved through binding arbitration or courts of competent jurisdiction.

Modifications

We may update these Terms from time to time. Significant changes will be communicated to active clients. Continued use constitutes acceptance of updated terms.

Entire Agreement

These Terms, together with any project agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
